WORKIT PLATFORM TERMS OF USE

These Workit Platform Terms of Use (“Terms”) govern access to and use of the Workit platform and related services provided by Workit.

By accessing, logging into, or using the Platform, you agree to these Terms.


1. ABOUT WORKIT

The Workit platform (“Platform”) is a cloud-based workforce management, HR, recruitment and compliance platform operated by WORKIT HCM PTY LTD ACN 634 269 122 (“Workit”, “we”, “our” or “us”).

The Platform may include functionality relating to:

• HR management; • recruitment and onboarding; • employee self-service; • rostering and workforce management; • leave and document management; • compliance tracking; • background screening; • training and learning management; • performance management; • reporting and analytics; • notifications and communications; • payroll and third-party integrations; • AI-assisted features; and • other related workforce management services.

The Platform may be accessed by:

• businesses or organisations that subscribe to Workit (“Customers”); and • employees, contractors, candidates or other authorised users invited by a Customer (“Users”).


2. ACCEPTANCE OF THESE TERMS

By accessing or using the Platform, you confirm that:

• you have read and understood these Terms; • you agree to comply with these Terms; • you are authorised to use the Platform; • if you are using the Platform on behalf of an organisation, you have authority to bind that organisation to these Terms; and • you will comply with all applicable laws.

If you do not agree to these Terms, you must not access or use the Platform.


3. CUSTOMER CONTROL OF DATA

Where you access the Platform through your employer or another organisation:

• that organisation controls your access to the Platform; • that organisation may access, manage, modify or remove information within its Workit environment; • Workit acts as a software provider and processor of information on behalf of the Customer; and • your employer or organisation is responsible for determining how your information is collected and used within the Platform.

Questions relating to your employment records, HR decisions, recruitment outcomes, roster allocations or workplace policies should be directed to your employer or organisation.


4. USER ACCOUNTS

To access certain features of the Platform, you may be required to create or use an account.

You must:

• provide accurate and current information; • keep your login credentials secure; • not share your account credentials with unauthorised persons; • notify Workit immediately of any unauthorised access or security breach; and • ensure all use of your account complies with these Terms.

You are responsible for all activity conducted through your account unless caused by Workit’s negligence or security breach.

Workit may require multi-factor authentication or additional identity verification measures for certain features or services.


5. ACCEPTABLE USE

You must not:

• use the Platform unlawfully or fraudulently; • interfere with or disrupt the Platform or its infrastructure; • attempt to gain unauthorised access to systems or data; • upload malicious code, malware or harmful software; • use automated scraping, bots or data extraction tools without approval; • copy, reproduce or commercially exploit the Platform except as permitted by law; • reverse engineer or attempt to derive source code from the Platform; • use the Platform to harass, discriminate against or harm others; • upload unlawful, offensive, defamatory or misleading material; • impersonate another person or organisation; or • use the Platform in a way that may damage Workit’s systems, reputation or services.

Workit may investigate suspected misuse and suspend access where reasonably necessary to protect the Platform, Customers or Users.


6. CUSTOMER RESPONSIBILITIES

Customers are responsible for:

• ensuring Users are authorised to access the Platform; • maintaining appropriate internal security controls; • complying with workplace, privacy and employment laws; • ensuring information uploaded to the Platform is lawful and accurate; • managing employee permissions and access levels; • obtaining any required employee consents; and • ensuring exported reports, payroll data and compliance information are reviewed before use.

Customers remain responsible for employment decisions and workplace obligations, even where supported by Platform functionality.


7. USER CONTENT AND DATA

Users and Customers retain ownership of their own data, documents and content uploaded to the Platform (“Customer Data”).

You grant Workit a non-exclusive licence to host, store, process, transmit and use Customer Data solely for:

• providing and improving the Platform; • platform support and maintenance; • security monitoring; • backup and disaster recovery; • complying with legal obligations; and • other purposes authorised by the applicable Customer or User.

Workit does not claim ownership of Customer Data.

You warrant that:

• you have the right to upload Customer Data; • Customer Data does not infringe third-party rights; and • Customer Data complies with applicable laws.


8. PRIVACY AND PERSONAL INFORMATION

Workit handles personal information in accordance with the Workit Privacy Policy and applicable privacy laws, including the Privacy Act 1988 (Cth).

Depending on the services used, the Platform may process:

• employee information; • candidate information; • identification information; • compliance records; • payroll-related information; • uploaded documents; and • communication records.

Customers are responsible for ensuring they have appropriate authority and consent to upload personal information into the Platform.

Workit may use third-party service providers, cloud infrastructure providers and integration partners to provide Platform functionality.


9. AI-ASSISTED FEATURES

The Platform may include AI-assisted or automated features, including content generation, workflow recommendations, document parsing, analytics or communications assistance.

AI-generated outputs:

• may not always be accurate, complete or suitable for every circumstance; • should be reviewed by Users before reliance or distribution; and • do not constitute legal, HR, financial or professional advice.

Customers and Users remain responsible for decisions made using AI-assisted functionality.


10. THIRD-PARTY SERVICES AND INTEGRATIONS

The Platform may integrate with third-party products or services, including payroll systems, job boards, communication platforms, identity verification providers or cloud services.

Workit is not responsible for:

• third-party services; • third-party outages or failures; • third-party terms or policies; or • data handling by third-party providers.

Use of third-party integrations may be subject to additional terms imposed by the relevant provider.


11. PLATFORM AVAILABILITY

Workit aims to provide reliable Platform availability but does not guarantee uninterrupted or error-free access.

The Platform may occasionally be unavailable due to:

• maintenance; • updates; • security activities; • internet or infrastructure failures; • third-party outages; or • events beyond Workit’s reasonable control.

Workit may:

• modify features; • add or remove functionality; • release updates; • introduce new modules or pricing structures; or • discontinue features where reasonably necessary.


12. SUBSCRIPTIONS AND FEES

Certain Platform features may require payment of subscription fees.

Subscription fees:

• are payable in accordance with the applicable customer agreement or pricing schedule; • may vary depending on modules, users, employee count or usage levels; and • may be updated by Workit with reasonable notice.

Where applicable, Customers are responsible for all taxes, duties and government charges associated with their subscription.

Workit may suspend access for overdue accounts following reasonable notice.


13. FAIR USE

Workit’s pricing is designed around fair and reasonable use of the Platform.

Where usage materially exceeds expected or reasonable usage patterns — including unusually high recruitment activity, messaging volumes, storage usage, automation activity or third-party processing costs — Workit may:

• contact the Customer to discuss usage; • apply reasonable usage limits; or • negotiate alternative commercial arrangements.

Workit will act reasonably and in good faith when applying this clause.


14. INTELLECTUAL PROPERTY

Workit retains ownership of:

• the Platform; • software; • workflows; • interfaces; • branding; • documentation; • reports templates; • AI models and functionality developed by Workit; and • all related intellectual property rights.

These Terms do not transfer ownership of the Platform or any Workit intellectual property.

Users may only use the Platform for its intended business purposes and in accordance with these Terms.


15. CONFIDENTIALITY

Users must not disclose confidential information relating to:

• the Platform; • Workit systems; • security processes; • pricing; • technical information; or • other confidential business information,

except where authorised or required by law.

This clause survives termination of access to the Platform.


16. SUSPENSION AND TERMINATION

Workit may suspend or terminate access where:

• these Terms are breached; • payment obligations are not met; • there is suspected unlawful activity; • security risks arise; • required by law; or • necessary to protect the Platform or other users.

Customers may stop using the Platform at any time subject to any applicable subscription agreement.

Termination does not affect accrued rights or obligations.


17. DISCLAIMERS

To the maximum extent permitted by law:

• the Platform is provided on an “as is” and “as available” basis; • Workit does not guarantee uninterrupted, error-free or defect-free operation; • Workit does not guarantee that the Platform will meet every business requirement; and • Users access and use the Platform at their own risk.

Customers are responsible for maintaining independent backups and verifying important information exported from the Platform.


18. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Workit is not liable for:

• indirect or consequential loss; • loss of profits; • loss of revenue; • business interruption; • loss of goodwill; • loss of opportunity; • data loss caused by third parties; or • reliance on Platform outputs or AI-generated content.

Where liability cannot be excluded, Workit’s total liability is limited to:

• re-supplying the affected services; or • the amount paid by the Customer to Workit for the affected services during the 12 months prior to the claim.

Nothing in these Terms excludes rights that cannot legally be excluded under Australian law.


19. INDEMNITY

Customers and Users indemnify Workit against claims, losses or liabilities arising from:

• misuse of the Platform; • breach of these Terms; • unlawful or negligent conduct; • infringement of third-party rights; or • Customer Data uploaded to the Platform.


20. CHANGES TO THESE TERMS

Workit may update these Terms from time to time.

Updated Terms may be:

• published within the Platform; • published on the Workit website; or • provided by email or notification.

Continued use of the Platform after updated Terms take effect constitutes acceptance of the updated Terms.


21. GOVERNING LAW

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
